We are seeking a Senior Healthcare M&A Associate to join theNashville office. The ideal candidate will have five to seven years of experience within a law firm or corporate legal department. The ideal candidate will have at least five years of experience leading healthcare transactions, including mergers, acquisitions, joint ventures, and other complex transactions. Areas of expertise should include:

  1. Strong legal and regulatory experience, including structuring, drafting, and negotiating a wide range of transaction documents, such as asset purchase agreements, stock purchase agreements, merger agreements, and ancillary agreements. Extensive experience conducting and managing due diligence processes and identifying key legal and regulatory risks specific to the healthcare sector.
  2. Analytical and strategic thinking skills, with the ability to assess complex legal and regulatory issues and develop strategic solutions. Ability to provide practical, business-oriented legal advice that aligns with clients’ business goals.
  3. Project management and leadership skills demonstrated by the ability to manage multiple complex transactions and projects simultaneously, ensuring deadlines and client expectations are met, experience leading deal teams, coordinating with other practice areas (e.g., tax, antitrust, employment), and overseeing junior associates and support staff.
  4. Strong organizational skills with meticulous attention to detail.
  5. Strong client management and development experience with a client service orientation and the ability to build and maintain trusted relationships with clients, understanding their needs, and effectively managing client expectations. Ability to independently manage client relationships and communicate effectively with clients at all levels, including C-suite executives and boards of directors. Experience in business development activities, including client pitches, proposals, and industry networking.
  6. Exceptional written and verbal communication skills, with the ability to present complex legal concepts clearly and persuasively. Strong negotiation skills and experience effectively negotiating with opposing counsel.
  7. Ability to work collaboratively with partners, associates, and other colleagues within the firm, as well as clients and external advisors. Experience mentoring and training junior associates and staff to develop their skills and expertise.
  8. Proficiency in legal research tools, transaction management software, and Microsoft Office Suite. Familiarity with financial statements and valuation principles relevant to M&A transactions.

 

 

Preferred Qualifications:

  1. Experience working with private equity clients and advising on transactions involving portfolio companies.
  2. Knowledge of related areas such as tax, antitrust, employment law, and corporate governance as they relate to M&A in the healthcare sector.
  3. Strong business acumen and a proactive, solutions-oriented approach to complex legal and business challenges.

 

 

Candidates will work closely with experienced lawyers who will provide active mentoring and opportunities to assume increasing levels of responsibility and client contact. Candidates must be self-starters who possess the ability to work independently and as part of a team. We require strong academic credentials, excellent communication skills, and a commitment to providing the highest quality client service.

Base Compensation: $275,000.00 - $325,000.00/ year

 

The compensation salary for this position will be determined during the interview process and will vary based on multiple factors, including but not limited to prior experience, relevant expertise, current business needs, and market factors.
