Job Description

We are seeking Paralegal to join the Asset Management and Investment Funds practice group in the Boston, New York or Washington, D.C. office. The ideal candidate will have at least five years of experience in securities-related and/or corporate legal matters. Candidates should have experience with fund formation and governance, Blue Sky research, preparation of Form D and Form ADV, federal and state securities laws and investment company filings. Knowledge of the SEC EDGAR, FINRA IARD/CRD and EFD filing systems and processes is preferred.

The candidate must be a demonstrated self-starter who is both highly organized and a team player. Applicants must have strong organizational and writing skills, demonstrate excellent verbal and written communication skills, be detail-oriented, and possess the ability to manage simultaneous projects in a fast-paced, deadline-oriented environment.

KEY RELATIONSHIPS
Supervising lawyer(s), practice area leaders (PALs) and practice group coordinators (PGC’s); Director of Administration; Director of Practice Support; Paralegal Manager; paralegals, and clients

ESSENTIAL DUTIES


  • Experience with Blue Sky research, obtaining SEC access codes, preparation of Form D and Form ADV, and documents required for state securities filings.
  • Assist with drafting and filing documents for formation of new corporate entities incorporated in Delaware including initial Certificate of Formation/Incorporation, LLC agreements, limited partnership agreements, bylaws and related agreements.
  • Track investor information for fund clients via spreadsheets and databases, and maintain client filing schedules.
  • Research state corporate laws regarding foreign qualifications and Blue Sky compliance.
  • Experience with Section 13 and 16 filings.
  • Post-closing responsibilities include making necessary securities filings, preparing closing volumes and updating corporate records.
  • Document support in fund closings, corporate restructurings, conversions, re-incorporations and dissolutions.
  • Draft and process legal response letters in connection with audit requests in compliance with established firm processes.
  • Familiarity with private fund offerings, mergers and acquisitions, and public securities regulation (’33 and ‘34 Acts).


• College degree required or certificate of completion of a paralegal program approved by the American Bar Association with a minimum of two (2) years of paralegal experience in the relevant subject area
• Working understanding of the legal terminology and the foundation of law specific to the practice group
• Demonstrate proficiency in Microsoft Office applications and the ability to be trained on specific practice group technology
• Display the ability to express himself/herself clearly using proper grammar and appropriate vocabulary; comments are organized and precise; is able to describe a set of facts in an organized, clear, and concise manner
• Possess excellent verbal and written communication skills; ability to present information to team in required format
• Strong attention to detail with the ability to follow up on assignments and produce a quality work product with appropriate oversight
• Maintain a positive, flexible and committed attitude; work collaboratively as part of a practice support team
• Ability and time management skills to work independently and meet deadlines in an atmosphere of frequent interruptions
• Critical thinking skills sufficient to make decisions regarding daily work, a willingness to follow instructions, and responsibility to bring all problems, concerns, or discrepancies to the attention of the supervising lawyer
• Remain current in practice area industry trends and in the legal profession; proactively seek out training opportunities
• Use sound judgment in decision making to solve problems and achieve defined business outcomes
• Organize and prioritize workload with minimal supervision; proactively seek additional work as utilization allows
• Take the initiative in handling projects and anticipating what needs to be done; capture all information to complete the assigned project successfully
• Understand and follow specific and detailed instructions in oral and/or written form; ask appropriate questions to confirm project parameters including deadlines

Compensation Salary $79,000 - $132,000

The compensation salary for this position will be determined during the interview process and will vary based on multiple factors, including but not limited to prior experience, relevant expertise, current business needs, and market factors.
