We are seeking an Oil and Gas Associate to join the Houston office. The candidate will have 2 years of experience in a Law/Legal field, or related. Must have experience with cross-border transactional matters; energy law and policy; and knowledge of laws, regulations and policies of importation and exportation of the people's republic of china. Position requires both verbal and written knowledge of Mandarin Chinese. Must be licensed to practice law in the U.S. and China.

Job duties: Responsible for drafting legal documents and agreements and conducting legal and business research in both English and Mandarin, and examining relevant instruments and documents filed for record or submission with governmental entities. Responsible for U.S. and Cross-border energy transactions, particularly those relating to inbound investments from china and to provide additional transactional support from an oil and gas perspective for the firms integrated offices in Asia for china-based clients requiring mandarin-speaking lawyers with international oil gas, energy and infrastructure experience. Provides interpretation and practical advice to clients on U.S. and Cross-border transactions in the oil and gas, lng and infrastructure sectors and governmental regulations concerning the production, sale and marketing of the same. Advise and represent clients involved in handling oil, gas, power, coal and other energy trading work; upstream, midstream and downstream oil and gas project development and M&A transactions, including terminal handling and processing agreements; pipeline gathering and transportation agreements, petroleum processing contracts; oil, gas and power purchase and sale, and related concession agreements; energy trading arrangements and other energy-related contracts; examines titles, leases, contracts, and other legal documents to determine ownership of land, and gas, oil, and mineral rights on us and Asia-based transactions. Assists in drawing-up and negotiating legal documents covering purchase and sale of land, and oil, gas, and mineral rights, drafts deeds and affidavits, and in presenting other evidence to meet legal requirements of documents. Works on due diligence reviews and preparing and reviewing contracts relating to us and cross-border M&A transactions and other energy and infrastructure acquisitions and dispositions and us and cross-border project development and project finance transactions.  Send resumes by email to Tiffany McCartney at resumes@klgates.com.
